Terms of Use
Effective date: November 2, 2026
These Terms of Use ("Terms") govern your use of www.hycentra.com and Hycentra's customer portal (together, the "Site"), operated by Hycentra LLC ("Hycentra," "we," "us"). Please read them carefully. Our Privacy Policy and Cookie Policy explain how we handle information collected through the Site.
Acceptance of These Terms
By accessing or using the Site, you agree to these Terms. If you use the Site on behalf of a company or other organization, you agree to these Terms for that organization and confirm that you have authority to do so. If you do not agree, please do not use the Site. You must be at least 18 years old to use the Site.
Client Engagements Are Governed by Separate Agreements
Hycentra provides consulting, implementation, and support services under separate written agreements, such as a master services agreement, statement of work, order, or change order signed by Hycentra and the client. These Terms do not create a client relationship, and nothing on the Site is an offer to provide services on any particular terms. If these Terms conflict with a signed agreement between you (or your organization) and Hycentra, the signed agreement controls.
Permitted Use
You may view and use the Site for lawful purposes, including learning about Hycentra, contacting us, and, if you have a portal account, working with us on your engagement. You agree not to:
- use the Site in violation of any law or the rights of others;
- try to gain unauthorized access to the Site, other accounts, or our systems, or probe, scan, or test their vulnerability without our written permission;
- interfere with the Site's operation, including by uploading malware or placing an unreasonable load on our infrastructure;
- copy, scrape, or harvest Site content or data by automated means, including to build datasets or train AI models, except for standard search engine indexing;
- reverse engineer any part of the Site, except where the law expressly permits it;
- impersonate any person, or misrepresent your affiliation with any person or organization; or
- use the Site to send spam or other unsolicited messages.
Our Content and Intellectual Property
The Site and its content, including text, graphics, logos, designs, articles, videos, downloads, and software, are owned by Hycentra or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive, non-transferable permission to view the Site and to download or print individual pages for your own internal, non-commercial reference, provided you keep all copyright and other notices. No other rights are granted. Nothing on the Site transfers ownership of any Hycentra methodology, framework, tool, or software to you.
Trademarks. Hycentra, Hydraflow, and our related names, logos, and slogans are trademarks of Hycentra. You may not use them without our prior written permission, except to refer accurately to Hycentra and its services. Other product and company names on the Site, such as the names of software platforms we work with, belong to their respective owners, and their appearance does not mean those owners endorse Hycentra.
Hydraflow. Hydraflow is a separate Hycentra product with its own website and terms. These Terms do not grant any right to use Hydraflow.
Portal Accounts and Security
If we give you a customer portal account, you agree to:
- provide accurate information and keep it up to date;
- keep your password and sign-in methods confidential, and not share your account with anyone else;
- use the portal only for your organization's engagement with Hycentra; and
- tell us promptly at contact@hycentra.com if you believe your account has been accessed without permission.
You are responsible for activity under your account. We may suspend or disable an account to protect the Site, our clients, or our systems, or when the related engagement ends.
Information and Content You Submit
Portal submissions. Content you submit through the portal for an engagement, such as tickets, attachments, comments, and approvals, remains yours or your organization's. You give Hycentra permission to host, copy, and use that content as needed to provide and administer the services. Its confidentiality and use are governed by the agreement between your organization and Hycentra. Please share only what we need for the work, and do not upload passwords, payment card data, or other sensitive information unless we have agreed on a secure method in advance.
Other submissions. Information you send through public forms, email, or other channels outside a signed agreement, including ideas, suggestions, and feedback, is not treated as confidential. Please do not send confidential or proprietary information that way. If you send us feedback or ideas, you agree that Hycentra may use them without restriction or payment to you.
You confirm that you have the right to submit any content you provide and that it does not violate any law or anyone's rights.
Third-Party Links and Services
The Site may link to, or rely on, websites and services run by others, such as payment processors, sign-in providers, and social media. We do not control them and are not responsible for their content, availability, or practices. Your use of them is governed by their own terms.
No Professional Advice
Articles, case studies, videos, and other content on the Site are general information only. They are not professional, technical, legal, financial, or tax advice for your situation, and results described for one business may not apply to yours. Do not rely on Site content as a substitute for advice under a signed engagement.
Disclaimers
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, HYCENTRA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ITS CONTENT IS COMPLETE OR CURRENT. WE ARE NOT RESPONSIBLE FOR OUTAGES OR CHANGES IN THIRD-PARTY PLATFORMS OR SERVICES. Any warranties for services we perform are only those stated in a signed agreement.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HYCENTRA AND ITS MEMBERS, PERSONNEL, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Liability for services performed under a signed agreement is governed solely by that agreement. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.
Indemnity
You agree to defend, indemnify, and hold harmless Hycentra and its members, personnel, and contractors from any third-party claims, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, content you submit, or your violation of these Terms or of any law or third-party right. This section does not apply to matters covered by a signed agreement between your organization and Hycentra, which governs instead.
Suspension and Termination of Access
We may suspend or end your access to all or part of the Site at any time, with or without notice, including if we believe you have violated these Terms. We may also change or discontinue any part of the Site. The sections on intellectual property, submissions, disclaimers, limitation of liability, indemnity, and governing law survive any termination.
Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Any dispute arising from or related to the Site or these Terms will be brought exclusively in the state or federal courts located in Orange County, California, and you and Hycentra consent to the personal jurisdiction of those courts. If you access the Site from outside the United States, you are responsible for complying with your local laws.
Changes to These Terms
We may update these Terms from time to time. We will post the updated version on this page with a new effective date. Your continued use of the Site after the change means you accept the updated Terms.
General
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the policies they reference, are the entire agreement about your use of the Site, subject to any signed agreement as described above.
